Sending an NDA for signature.
A non-disclosure agreement usually has to be signed before anything interesting can happen: before the investor sees the numbers, before the manufacturer sees the drawings, before a buyer walks through the books. Speed matters, so here is how to get your own NDA signed in minutes rather than days.
One-way or mutual changes who signs
With a one-way NDA, only the party receiving information makes the promises, but most businesses still want both sides to sign so there is a clear record of the agreement. With a mutual NDA, both sides disclose and both sign. Either way, there are usually two signers: someone for your organisation and someone for theirs.
If the other party is a company, ask who will sign for it before you send. Sending to a general inbox often means the NDA sits unread while the meeting date approaches.
Fields an NDA needs
NDAs are short, so keep the fields tight. Too many fields on a two-page document make it feel heavier than it is.
- Signature, name and date for each signer.
- A text field for the signer's title, such as Director or General Manager.
- A text field for the other party's company name and NZBN, if your document leaves them blank.
- Initials beside any clause you changed for this deal.
Who goes first
The common pattern is to have the other party sign first, then your director signs last. That way your side commits only once you have their signature in hand. Set an ordered envelope and SignAndGo holds your signer's request until theirs is complete. If both sides are relaxed about order, send to everyone at once and it finishes sooner.
When the meeting is tomorrow
The other party opens the link on whatever device they have, with no account to set up. If they want to understand the terms before signing, you can switch on document summaries so they can read a plain-language overview first. If they want a change, they can decline and say why, which tells you exactly which clause to look at.
Send a reminder from the envelope the afternoon before, rather than an awkward phone call.
Finding it again in two years
NDAs tend to matter long after they are signed, usually when someone asks whether one was ever in place. Each completed envelope keeps the signed document, a completion certificate, and a log of who viewed and signed it and when. The verification ID on the document lets anyone check it is the version SignAndGo completed.
Common questions
- Can I save my NDA as a template?
- Yes. Most teams set up a mutual NDA template with roles for their own signer and the other party, so each new one takes a minute to send.
- Can the other party sign on a phone?
- Yes. The link works in any browser on a phone, tablet or computer.
- Can someone outside the deal get a copy?
- Yes. Copy them in and they receive the finished document without being asked to sign.
